1. Introduction

Welcome to the official platform of Cognizant Consulting Partners (CCP) (“CCP”, “Firm”, “We”, “Us”, or “Our”), a professional partnership firm based in Kerala, India, engaged in Financial Advisory, Management Consulting, Loan Facilitation, Insurance Advisory, and Wealth Management Services.

By accessing, browsing, or availing any services of CCP, you (“Client”, “User”, or “You”) expressly acknowledge that you have read, understood, and agreed to be legally bound by the terms and conditions set forth herein.

If you do not agree with any part of these Terms, you are advised to discontinue usage immediately.

2. Scope Of Services

CCP provides a comprehensive suite of professional services, including but not limited to:

  • Loan Facilitation in association with RBI-registered Banks and NBFCs
  • Health, Life, and General Insurance Advisory
  • Wealth Management and Investment Advisory Support
  • Financial Modelling and Forecasting
  • Feasibility Studies and Detailed Project Reports (DPRs)
  • Debt and Equity Fund Arrangement
  • Audit & Assurance Support Services
  • Accounting, Bookkeeping, and Compliance Assistance

All services are provided on a best-effort, professional advisory basis, subject to applicable laws and regulatory frameworks in India.

3. Nature Of Engagement

CCP acts strictly as a facilitator, advisor, and consultant. CCP does not function as a lender, insurer, or investment issuer.

Final decisions regarding approvals, sanctions, underwriting, or issuance rest solely with:

  • Banks / NBFCs
  • Insurance Companies
  • Regulatory Authorities

CCP shall not be held liable for any rejection, delay, modification, or conditional approval by such institutions.

4. Disclaimer Of Warranties

All information, analysis, projections, and advisory services provided by CCP:

  • Are based on available data, assumptions, and professional judgment
  • Do not constitute guarantees of performance, returns, or approvals
  • Should be independently evaluated by the client

CCP expressly disclaims:

  • Accuracy, completeness, or timeliness of third-party data
  • Any implied warranties including fitness for a particular purpose
  • Any assurance of financial outcomes, investment returns, or funding success

5. Client Responsibilities

By engaging with CCP, you agree that:

  • All information provided by you is true, accurate, and complete
  • You will exercise independent judgment before making financial decisions

You are solely responsible for:

  • Investment decisions
  • Loan obligations
  • Insurance selections
  • Regulatory compliance

Any misrepresentation may result in termination of services without liability.

6. Intellectual Property Rights

All materials provided by CCP, including:

  • Financial models
  • Reports and projections
  • Advisory frameworks
  • Proprietary methodologies

are the exclusive intellectual property of CCP.

You shall not:

  • Copy, reproduce, distribute, or commercialize such content
  • Share with third parties without prior written consent
  • Violation may result in legal action and claim for damages.

7. Confidentiality & Data Protection

  • CCP is committed to maintaining strict confidentiality of client information.
  • Client data is used solely for service delivery and enhancement
  • CCP does not sell or rent personal data
  • Information may be shared with: Financial institutions, Insurance providers, Regulatory authorities only as required for service execution or legal compliance
  • Clients are responsible for safeguarding their login credentials and sensitive data.

8. Third-Party Associations

CCP may collaborate with:

  • RBI-registered Banks
  • NBFCs
  • Insurance Companies
  • Financial Institutions

CCP does not control or guarantee:

  • Their decisions
  • Their policies
  • Their service quality
  • Any engagement with such entities is at the client’s discretion and risk.

9. Limitation Of Liability

To the maximum extent permitted under applicable law, CCP, its partners, employees, associates, or affiliates shall not be liable for:

  • Any direct or indirect financial loss
  • Loss of profits, data, or business opportunity
  • Delays, rejections, or failures by third-party institutions
  • Errors arising from reliance on client-provided information
  • Technical disruptions, system failures, or cyber incidents
  • Aggregate liability, if any, shall not exceed the professional fee paid to CCP or INR 1,000, whichever is lower.

10. No Solicitation / No Offer Clause

All content, communication, and services provided:

  • Are purely informational and advisory in nature
  • Do not constitute an offer, solicitation, or recommendation to buy or sell any financial product
  • Services are intended for individuals/entities legally permitted under Indian laws.

11. Conflict Of Interest Disclosure

In alignment with industry practices:

CCP and its team members may receive compensation or incentives from partner institutions.

However, CCP maintains a strict ethical framework ensuring:

  • No product is recommended against client interest
  • Transparency and fairness in advisory

12. Electronic Communication Consent

By engaging with CCP, you consent to receive:

  • Emails
  • SMS / WhatsApp communications
  • Phone calls

…for service updates, documentation, follow-ups, and promotional communication.

This consent overrides any DND (Do Not Disturb) registration, solely for service-related communication.

13. Termination Of Services

CCP reserves the right to:

  • Refuse or discontinue services
  • Terminate engagement

Without prior notice in cases of:

  • Misrepresentation
  • Regulatory concerns
  • Breach of terms

14. Governing Law & Jurisdiction

These Terms shall be governed by the laws of India.

All disputes shall fall under the exclusive jurisdiction of courts in Kerala.

15. Modification Of Terms

CCP reserves the right to:

  • Modify, update, or revise these Terms at any time
  • Continued usage implies acceptance of the updated Terms

16. Indemnity

You agree to indemnify and hold CCP harmless from claims, losses, damages, or liabilities arising from:

  • Breach of terms
  • Misuse of services
  • Violation of applicable laws

17. Final Acknowledgement

By proceeding with CCP’s services, you confirm that:

  • You have read and understood all Terms
  • You voluntarily agree to be bound by them
  • You accept full responsibility for your financial decisions.
